IQ‑EQ Fund Management (Ireland) Limited has announced, on behalf of Ark Invest Europe, the launch of the ARK Private Innovation ELTIF, a long-term European investment fund (ELTIF) domiciled in Ireland within an ICAV.
The vehicle, of the ELTIF 2.0 type, proposes a crossover strategy that combines private and public markets with the aim of offering investors access to innovation leaders through a single regulated instrument.
The fund aims for an exposure of about 80% in private companies — mainly in the intermediate or advanced stage and pre-IPO — and 20% in high conviction listed companies consistent with the same innovation themes. The focus is on ARK's five platforms: artificial intelligence, robotics, energy storage, public blockchains, and multi-omic sequencing.
Unlike structures that access private companies through SPVs, the ELTIF will mostly invest directly in capital in both primary and secondary operations, with the stated aim of avoiding typical SPV charges such as management fees, carried interest, and NAV premiums. Direct investment also allows, according to the company, an ongoing dialogue with founders and management and deeper monitoring throughout the life cycle, including the transition to public markets.
The fund intends to invest in parallel with ARK's venture capital strategy in the United States, already exposed to a diversified basket of private technology leaders in AI, mobility, genomics, and space; however, there is no guarantee that the ELTIF will exactly replicate the same names or weights.
The ARK Private Innovation ELTIF is structured as a semi-liquid "evergreen" vehicle: it will offer classes with monthly and daily subscriptions and quarterly refund windows, up to a maximum of 5% of the NAV on a pro-rata basis each quarter, according to the terms of the prospectus. As an ELTIF 2.0 also intended for retail, the fund is designed for distribution through private banks, wealth managers and financial advisors to a wide range of investors in Europe and other jurisdictions eligible under MiFID.
IQ-EQ Fund Management (Ireland) Limited, part of the global IQ-EQ group, acts as the AIFM of the fund and will provide ongoing marketing services, while portfolio management is entrusted to ARK Investment Management LLC in the United States.
In line with ARK's "open research" approach, investors will benefit from a high level of transparency on the portfolio and wide availability of informational and analytical materials through the company's digital channels, in compliance with regulatory and contractual restrictions. The team, which has been managing the ARK Venture Fund ($491 million) since 2022, operates a unified process focused on disruptive innovation, combining top-down platform analysis with bottom-up valuation models, co-investing with leading global VCs and supporting portfolio companies before and after the IPO, also looking for arbitrage opportunities between private and public valuations.
